The Technology Strategy and M&A team is focused on leveraging WeWork’s best-in-class technology solutions and operational excellence to power the flexible space economy. This team is responsible for defining WeWork’s technology strategy and executing on M&A opportunities to expand the WeWork network and brand globally across the ever-evolving ecosystem of landlords, enterprises and operators. 

About the Role:

Reporting to the Vice President of Strategy and M&A, the Director of Mergers & Acquisitions (“M&A Director”) will be responsible for mergers, acquisitions and investments focused on growth of the core WeWork business and its technology offerings. To perform this role effectively, the M&A Director should have a robust technical background in fundamental valuation analyses and deep transaction experience across the M&A lifecycle. The M&A Director will also be responsible for developing an execution playbook and an M&A strategy focused on revenue- or technology-accretive targets in the real estate, technology, enterprise and consumer verticals.

The M&A Director will be responsible for underwriting the valuation of potential M&A targets and should have the ability to build discounted cash flow analyses, multiples valuations based on public company comparables and precedent transactions, merger models and accretion/dilution analyses. The M&A Director will also be responsible for working with functional leadership to assess the competitive landscape, identify gaps in the current portfolio and compare strategic alternatives through a build vs. buy vs. partner framework.

The M&A Director will act as the deal principal and drive execution in potential transactions. As such, the M&A Director should have a mastery of the deal lifecycle across sourcing and underwriting valuations for potential targets, negotiating and structuring terms, managing functional due diligence and drafting definitive documents. As the deal principal, the M&A Director will also be responsible for debriefing functional teams on terms and receiving requisite approvals from key stakeholders, including executive leadership and the Board of Directors, prior to Signing. The M&A Director will be supported by the Technology Strategy and Project Management teams throughout the deal process.

Responsibilities:

  • Execute M&A transactions that augment WeWork’s core products and business lines across revenue-accretive and tech-accretive opportunities

  • Develop a pipeline of potential M&A targets across the real estate, technology and software verticals and leverage venture capital relationships to drive deal sourcing

  • Possess a track record of solving problems that do not have clearly defined answers – requires the ability evaluate complex problems quickly and determine creative solutions 

  • Take ownership of deliverables that will be presented to executive leadership and the Board of Directors – this is a highly visible role with tremendous exposure to the C-suite

  • Build cross-functional relationships across Finance, Sales, Community, Operations, Real Estate and Technology to drive integrations and realize potential synergies post-Close

  • Leverage a deep knowledge of operations, accounting and finance to structure economic deal terms, stand up strategic initiatives post-Close and drive overall WeWork profitability 

  • Possess and utilize an expert knowledge of WeWork’s value proposition, core business products and technology roadmap

  • Be curious and innovative – seek to continuously refine the WeWork’s technology strategy by implementing key learnings and driving process improvements



Experience and Requirements:

  • 7-10+ years of experience at a top-tier investment bank or in a corporate development role, with a proven track record of deal execution

  • Principal-level experience in the M&A deal lifecycle and excellent Executive and Board management skills

  • Prior transaction experience in TMT (software) a plus but not required

  • Nuanced knowledge of the commercial real estate industry

  • Proven ability to develop meaningful relationships with potential counterparties

  • Self-starter, reliable, focused, with demonstrated ability to consistently meet deadlines

  • Competency in deal financials/cash flow analysis

  • Strong time management skills and experience managing numerous tasks simultaneously

  • Strong communication and presentation skills, verbal and written

  • Excels under pressure; ability to work independently and cooperatively in a fast-paced environment
