The Corporate Paralegal will assist in the SBE legal department in many facets of corporate law--from paperwork to court proceedings. Much of the paralegals time will be spent carrying out routine tasks such as updating company files, preparing legal contracts, reviewing documents, and giving legal assistance.
Responsibilities/Essential Functions
• Handles commercial contracts including but not limited to review, revision, administration, producing summaries/abstracts.
• Drafts NDAs, vendor agreements, contractor agreements, etc.
• Corporate organization and governance including but not limited to: formation and dissolution of entities, drafting of and revision to operating agreements, making and supervising corporate filings, creation maintenance of corporate organization charts.
• Performing due diligence, including UCC searches and good standing certifications.
• Drafting entity formation documents.
• Drafting organizational documents, including articles of incorporation and fictitious name registration.
• Drafting and filing various federal and state forms, including SEC filings.
• Monitoring and reporting changes in filing, reporting, and franchise tax laws.
• Drafting documents for board meetings.
• Drafting special minutes for corporate activities.
• Supporting corporate records retention and maintenance.
• Maintaining accurate database of all pending or threatened litigation.
Skills/Attributes
• Soft intellectual property management.
• Previous experience working with extensive international trademark portfolio.
• Expertise in litigation support.
• Corporate mergers and acquisitions due diligence.
Requirements
• Paralegal Certification
• In-house legal department experience preferred (as opposed to law firm or otherwise).
• Hospitality industry experience is not required but strongly preferred.
Education / Experience / Credentials
Bachelor’s degree required. Minimum of four to five (4 to 5) years’ plus relevant experience in field with working knowledge of paralegal disciplines. It is the employee's responsibility to secure and maintain current status of all required certificates, licenses, or registrations when required by local, state, or federal government agencies.
Work Authorization
Must be able to provide documentation that shows you are authorized to work in the United States.
Language
Must have the ability to speak, read, write, and interpret business documents in the English language.
Travel
This position may require the ability to travel nationally, to multiple business units, as needed. Must have access to reliable transportation locally, as this position may require some time to be spent at the corporate office and at business units locally.
